Just In Coffee Group – Terms & Conditions of Sale

Effective Date: 01/01/2025

By purchasing goods from Just In Coffee Group (“the Company”), including any of its subsidiaries or associated brands such as 918 Coffee Co, Carbon Neutral Drinks, Padstow Coffee, Henerz Brew, Small Batch Roasting Supplies, Network Coffee, Eco Fuel, Myco Balance, or any future affiliated entities (collectively referred to as “the Group”), you enter into a legally binding agreement on the following Terms and Conditions of Sale.

These terms govern all sales—whether online, by telephone, email, or in-person—and apply to all trade and retail customers unless otherwise expressly agreed in writing by the Company.

1. INTERPRETATION

In these Terms:

  • “We”, “Us”, and “Our” refer to Just In Coffee Group and all brands or trading names within the Group.

  • “You” and “Your” refer to the customer purchasing goods from the Group.

  • “Goods” means any products supplied by us to you, whether manufactured, distributed, or branded under any entity within the Group.

  • “Contract” means the legally binding agreement for the sale and purchase of Goods.

2. ORDERS & ACCEPTANCE

All orders constitute an offer to purchase Goods subject to these Terms. Orders are accepted at our sole discretion and only upon written or electronic confirmation (including invoice or dispatch note).

Orders are processed within 2–3 business days, and while we aim to dispatch same-day for orders received before 13:00, this is not guaranteed during peak periods or for pallet shipments.

We reserve the right to decline any order without liability. Prices, availability, and specifications are subject to change without notice.

3. PAYMENT TERMS

3.1 Credit Accounts

  • Payment is due strictly within 30 days from the invoice date.

  • Overdue accounts will incur:

    • A £35.00 + VAT administration fee per overdue invoice, and

    • 10% monthly interest on the outstanding balance (pro rata if partial month).

  • Two consecutive late payments will result in the withdrawal of credit facilities and conversion to a proforma-only account.

  • Accounts exceeding 60 days overdue will be referred to an external Debt Collection Agency, including their fees. Once transferred, this process cannot be reversed.

3.2 Payment Methods

  • Bank Transfer: ClearBank Plc – Account: 23025302 | Sort Code: 04-06-05

  • Card Payments: Call 01747 684809 (3% fee applies to credit cards).

  • Direct Debit: Set up via link provided upon request.

No liability is accepted for delivery delays caused by payment errors or insufficient funds.

4. DELIVERY

Deliveries cover Mainland UK as standard. Non-Mainland UK and international shipments are available upon quotation.
All deliveries require a signature upon receipt. Once signed for, liability transfers to the customer.

Delivery times are estimates only and not guaranteed. We will not be liable for delays caused by courier performance, weather, or circumstances beyond our control.

You must inspect all Goods on delivery. Any damage, shortages, or discrepancies must be reported within 48 hours. Claims beyond this period will not be accepted.

5. RISK & TITLE

Risk passes to you upon delivery.
Ownership remains with Just In Coffee Group until full cleared payment is received for all Goods supplied.
We reserve the right to recover Goods or seek payment in full should the customer default.

6. RETURNS & CANCELLATIONS

Customers in the UK and EU are entitled to a 7-day cooling-off period (for non-business orders).
Returns must be pre-authorised and made within 7 days in unopened, original packaging.

  • Non-faulty items are subject to up to 25% restocking charge.

  • Shipping costs are non-refundable.

  • Customers are responsible for return shipping and insurance.

For damaged or defective items, contact us within 48 hours for a replacement or refund. We may arrange collection at our discretion.

7. WARRANTIES

All new equipment is covered by the manufacturer’s warranty (typically 12 months on parts only).
Proof of professional installation may be required to validate claims.

Warranty excludes:

  • Wear and tear

  • Misuse, negligence, or improper installation

  • Labour or courier costs

Our liability will not exceed the purchase price of the product. We reserve the right to repair, replace, or refund at our discretion.

8. PRICING & TAXES

All prices are quoted in GBP (£).
VAT is charged at the prevailing rate where applicable.
Coffee is zero-rated for VAT; ancillary items and delivery charges are subject to 20% VAT.

Pricing is reviewed quarterly in line with commodity fluctuations.
Errors or omissions in pricing are subject to correction even after order confirmation.

9. LIMITATION OF LIABILITY

We shall not be liable for:

  • Indirect, consequential, or special damages;

  • Loss of profit, business, or goodwill; or

  • Improper or unauthorised use of Goods.

Our total liability is limited to the replacement, repair, or refund value of the Goods supplied.

You agree to indemnify Just In Coffee Group and its subsidiaries, officers, and employees against all claims or damages arising from your misuse of Goods.

10. FORCE MAJEURE

We are not liable for delay or failure to perform obligations where caused by events beyond our reasonable control (including but not limited to strikes, transport issues, supply chain disruptions, natural disasters, or acts of government).

11. PRIVACY & DATA HANDLING

We respect your privacy.
Data provided will be used solely for processing orders, managing accounts, and improving service.
We may share information with third parties only where necessary for debt recovery or logistics.

All data is stored securely under current UK GDPR and Data Protection Act 2018 standards.

12. INTELLECTUAL PROPERTY

All trademarks, logos, brand names, and content associated with Just In Coffee Group and its brands are the intellectual property of the Group.
Unauthorised reproduction, use, or distribution is strictly prohibited and will be pursued legally.

13. GOVERNING LAW

These Terms are governed by English law, and any disputes shall be resolved exclusively in the Courts of England and Wales.

14. GENERAL

We reserve the right to amend these Terms without prior notice.
No variation shall be valid unless agreed in writing by an authorised representative of Just In Coffee Group.

Your order is subject to these Terms and Conditions of Sale.
By purchasing goods from Just In Coffee Group, you confirm your acceptance of them.
